These Terms of Service apply when you use the services of Fer-Ads Agency. Please read them carefully before entering into a contract. Browsing this website, booking a call or sending us a message does not create a contract.
1. The service provider
- Name
- Ferenczi Zsombor Gábor e.v. (Hungarian sole trader), trading as Fer-Ads Agency
- Registered office and postal address
- Hegyalja utca 20., 9083 Écs, Hungary
- Registration no.
- [sole trader registration number]
- Tax number
- 92455065-1-28
- ferenczizsombor@fer-ads.com
- VAT
- Exempt under the Hungarian small-business VAT scheme (alanyi adómentes, AAM): our fees contain no VAT and no VAT is charged.
Below, the service provider is “we” and the person or business using the services is the “client”.
2. Scope of these terms
- These terms apply to every service we provide, to businesses and consumers alike.
- A consumer is a natural person acting outside their trade, business or profession. Rights that only consumers have are marked in sections 11, 12 and 14. We never deviate from them to a consumer’s disadvantage.
- Where an individual quote or contract says something different from these terms, the individual term prevails.
3. Our services
- Web design: designing and building websites, landing pages and property microsites.
- AI-assisted content: property films, ad creatives, voice-over and captions.
- Ad management: planning, setting up and optimising Meta (Facebook, Instagram) campaigns.
- AI automation: CRM, follow-up messaging, chat and voice assistants, booking flows, mainly in GoHighLevel.
The exact work, deliverables, deadlines and fee are always set out in the individual quote.
4. How a contract is made
- After the discovery call we send a written quote by email. The quote is valid for the period it states, or for 30 days if it states none.
- The contract is made when the client accepts the quote in writing (by email or signature). It counts as a written contract. We keep the accepted quote and the correspondence and send them to the client on request.
- The contract language is Hungarian or English.
- If a quote contains a term that differs materially from normal contractual practice, the quote highlights it, and it only becomes part of the contract if the client expressly accepts it.
5. Fees and payment
- The fee, the currency and the payment schedule (for example a deposit, milestones or a monthly fee) are set out in the individual quote.
- As a VAT-exempt small business we charge no VAT. Fees are payable by bank transfer against an invoice, by the due date shown on it.
- Late payment carries default interest under the Hungarian Civil Code. Business clients also owe the EUR 40 recovery cost flat fee under Hungarian Act IX of 2016.
- If a payment is more than 15 days late, we may pause the work after written notice until it is paid. Deadlines move by the same amount.
- Ad spend: the client pays advertising platforms (for example Meta) directly, with its own payment method. Ad spend is not part of our fee and we do not handle it.
6. Delivery and cooperation
- We deliver the work with the content and deadlines in the quote, with the care expected in our profession.
- Deadlines assume the client provides the materials it needs to (photos, data, access) and its feedback on time. Delays on the client’s side extend the deadlines by the same amount.
- The quote sets the number of revision rounds. Further or out-of-scope requests are quoted separately.
- We deliver work electronically. For business clients, work counts as accepted if no objection is raised within 8 days of delivery. This does not affect a consumer’s rights for defective performance.
- We may use subcontractors and third-party tools (for example AI models or GoHighLevel). We are responsible for subcontractors as if we had done the work ourselves.
7. Your obligations
- Accurate information: the client is responsible for the accuracy of the data about the properties and services it advertises (price, size, condition, availability) and for holding the permits advertising requires, such as the advertising permit number needed for property ads in Dubai.
- Materials you provide: the client warrants that it has the rights needed to use the photos, videos, logos and texts it gives us.
- Approval: the client approves ads, copy and the scripts of automated messages and chat assistants before they go live.
- Your leads: we process the personal data of the client’s enquirers on the client’s behalf, as a processor, under a separate data processing agreement (Art. 28 GDPR). The client is responsible for the legal basis for contacting its enquirers (for example consent for marketing messages).
8. Intellectual property
- Once the fee is paid in full, the client receives an exclusive licence, unlimited in territory and time and including the right to adapt, to use the final deliverables handed over (for example a website, films or creatives) for the purpose set out in the contract. Until payment, the deliverables may not be used.
- Our pre-existing tools, templates, code snippets and methods remain ours. We grant a non-exclusive licence to them where the deliverables need them to work.
- AI-made content: some work is produced with AI tools. Content generated purely by AI, without human creative input, may not be protected by copyright, so for such elements we only promise exclusivity to the extent the law allows. We only use AI tools whose terms allow commercial use.
- Third-party elements (for example fonts, music or stock footage) may be used under their own licences, which we identify on delivery.
- We may show finished work as a reference unless the client forbids it in writing.
9. Accounts and data
- Wherever possible, ad accounts, domains, hosting and the CRM are in the client’s name and ownership, and we are given access.
- If a system runs in our account (for example a GoHighLevel sub-account), when the contract ends we hand over or export the client’s data and settings within 30 days of the client’s request.
10. Cancellation and refunds
One-off projects (for example a website or a film package)
- The client may cancel a project in writing (by email) at any time before it is completed.
- The client then pays for the work done so far, pro rata, and for costs already incurred and evidenced (for example licences bought).
- We refund any amount paid for work not yet done within 14 days of the cancellation.
Monthly services (for example ad management or running automations)
- Either party may terminate in writing (by email) with [30 days’] notice.
- The monthly fee is due pro rata for the notice period. Fees paid in advance for any period after it are refunded within 14 days.
In both cases
- Either party may terminate with immediate effect for a serious breach of contract.
- Ad spend paid directly to advertising platforms cannot be refunded by us, because we never receive it.
- Consumers also have the right of withdrawal in section 11.
11. Right of withdrawal (consumers)
If you made a contract with us as a consumer at a distance (for example by email or video call), Hungarian Government Decree 45/2014 (II. 26.) on consumer contracts gives you these rights:
- You may withdraw from the contract within 14 days of making it, without giving a reason.
- To withdraw, send us a clear statement by email or post. You may use the model form below. Sending it before the 14 days end is enough.
- If you withdraw, we refund what you paid within 14 days of learning of your withdrawal, using the same payment method.
- If you expressly asked us to start work before the 14 days ended and then withdraw, you pay a pro-rata amount for the service provided up to your withdrawal.
- You lose the right of withdrawal once we have fully performed the service within the 14 days, if performance started with your express prior consent and your acknowledgement that you would lose the right once the contract was fully performed. The same applies to digital content not supplied on a tangible medium (for example a delivered film file) if supply started with such consent.
12. Defective performance
- If the work does not conform to the contract, under the warranty rules of the Hungarian Civil Code you may first ask for repair and, if that is impossible or disproportionate, a price reduction or, as a last resort, withdrawal.
- Report a defect without delay after discovering it. For consumers, a report within two months of discovery is always on time.
- Warranty claims expire one year after performance for businesses and two years for consumers.
- Changes to how external platforms (for example Meta, GoHighLevel or AI providers) work, their rules or their availability are not defective performance unless we caused them.
13. Liability
- We do not guarantee results. The number of enquiries, sales and ad performance also depend on the market, the offer and the platforms, so we do not promise specific results.
- We are not liable for outages or rule changes of external platforms, or for restrictions a platform places on the client’s ad account, unless we caused them.
- Towards business clients, our liability for damage caused by breach of contract is capped at the fees paid to us under that contract in the previous 12 months. The cap does not apply to damage caused intentionally or by gross negligence, or to breaches harming life, physical integrity or health.
- Towards consumers we do not limit our liability. We are liable as the law provides.
14. Complaints and disputes
- Send complaints to ferenczizsombor@fer-ads.com or to our registered office. We answer written complaints in writing, with reasons, within 30 days.
- If you are a consumer and we reject your complaint, or you are not satisfied with our answer, you can:
- turn to the conciliation body (békéltető testület) for your place of residence or stay, or for our registered office (see below). We cooperate in conciliation proceedings;
- complain to the consumer protection authority of the county (or Budapest) government office for your place of residence;
- go to court.
Conciliation body for our registered office: Győr-Moson-Sopron Vármegyei Kereskedelmi és Iparkamara által működtetett Békéltető Testület
Szent István út 10/A, 9022 Győr, Hungary · Phone: +36 96 520 200 · bekelteto.testulet@gymsmkik.hu · www.bekeltetesgyor.hu
If you live in another EU country, the European Consumer Centre can also help with cross-border disputes.
- The contract is governed by Hungarian law. For consumers, this does not take away the protection of the mandatory consumer law of their country of residence.
- For disputes between businesses, the parties submit to the exclusive jurisdiction of the court competent for the service provider’s registered office.
15. Final provisions
- These terms are always available on this page and can be saved or printed from the browser.
- We may amend these terms. Amendments apply only to contracts made after they take effect, and to existing contracts only if the client accepts them.
- These terms are available in Hungarian and English. If the two differ, the Hungarian version prevails.
- If any provision is invalid, the others remain in force.
- Matters not covered here are governed by the Hungarian Civil Code (Act V of 2013) and other applicable law.
